Mid-Atlantic College - Basketball Officials Association (MAC-BOA)
Section 1 Goal
- To promote the game of basketball.
- To maintain the highest standard of basketball officiating through constant study to improve officiating techniques.
- To maintain the highest ideals of sportsmanship in the game of basketball.
- To promote better understanding of basketball rules and officiating among managers, coaches, players, fans, and media.
- To agree to officiate impartially and solely in accordance with and by the guidelines and the requirements set forth bythe National Collegiate Athletic Association for basketball officials, and the Mid-Atlantic College Basketball Officials Association.
Section 1 Association
The Association: The Mid-Atlantic College - Basketball Officials Association shall be referred to in this document as MACBOA.
Section 2 Conferences
The members of the Association officiate in the Mid-Atlantic Basketball College Basketball Officials Association providing services to the Maryland Junior College Athletic Association and Division II Independent Schools.
Section 3 The Board
The Board: The Board of Directors shall be referred to in this document as the Board.
Section 1 Membership Approvals
- Membership and requirements for membership in the Association shall be determined by the Association, and approved by the MACBOA Supervisor of Basketball Officials.
Section 2 Members Disassociated
- By majority vote of the Association's officers, a member of the Association may become disassociated with the Association.
- The member(s) have a right of appeal and hearing by the Board of Directors.
Section 3 Memberships in "Good Standing"
- A member in the Association shall be determined in "good standing" when dues are paid to date and the requirements for membership have been satisfied according to the Association's Constitution and By-laws.
- Only members in "good standing" may vote on Association business.
- A member in the Association shall be determined in "good standing" by attending all required officiating meetings and clinics as required.
Section 1 Officers Designation
- The officers of this Association shall be: President, Vice President, Secretary, Treasurer, Ethics/Grievances and Observations.
- The immediate Past President shall be a non-voting member of the Board of Directors.
Section 2 Officers Terms
Term of office will begin upon election and shall be for a period of two years for President, Vice President, Secretary, Treasurer and Ethics/Grievances.
Section 3 Officer Vacancy
If during any year, anyone leaves the Association that is serving on the Board, the President may appoint from the general membership an individual to finish serving the term of the office vacated.
Section 4 Officer Elections
- Officers shall be elected by a majority vote of members present and in "good standing."
- Those elected will take office immediately.
- The annual election of officers shall be during the annual meeting.
- Officers shall serve until their prospective successors are elected.
Section 5 Duties of the Officers
- The president shall:
- Preside at all meetings of the Association.
- Appoint committees and other persons he/she deems necessary to complete an assigned task or to fill a vacated officer's position.
- Represent the Association in an official capacity and have the usual powers of supervision and management as may pertain to his/her office.
- Keep all members of the Association informed concerning important events or decisions affecting all members through an annual newsletter or other written communications.
- Promote good will and public relations for the Association whenever possible through his/her contacts when conducting Association business.
- The Vice President shall:
- Assume the responsibilities of the President in case of absence or disqualification.
- Be responsible for arrangements pertaining to the annual meeting.
- Assist the president in performing duties and responsibilities for the Association.
- Promote good will and public relations for the Association whenever possible through his/her contacts when conducting Association business.
- The Secretary shall:
- Maintain the office of the Association and execute the official correspondence.
- Maintain a record of service pertaining to Association business.
- Maintain attendance records and record minutes for meetings held.
- Keep a record of the Association membership and all communications disseminated by the Association.
- Document membership dues, maintained by the Treasurer.
- Promote good will and pubic relations for the Association whenever possible through his/her contacts when conducting Association business.
- The Treasurer shall:
- Maintain a record of all membership dues received and make deposits in the name of and to the credit of the Association.
- Disburse all money under the direction of the Association's President or his/her designee.
- Submit a written financial report at the annual meeting or at other times at the direction or request of the Association's President and/or Association Board of Directors.
- Promote good will and public relations for the Association whenever possible through his/her contacts when conducting Association business.
- The Ethics/Grievances shall:

Chair the ethics/grievances committee.
- Select members of the ethics/grievances committee from the membership.
- Review with the committee all grievances submitted by a member.
- Report to the Board any and all findings and decisions regarding submissions.
Section 1 Members of the Board of Directors
The Association's Board of Directors shall consist of the following: the Officers and the immediate Past President.
Section 2 Duties of the Board of Directors shall be:
- Entertain and initiate investigations of complaints by members and other matters pertaining to officiating duties.
- Entertain and initiate investigations with written complaints against any members of the Association and take what action the Board of Directors may deem advisable and prudent.
- Approve expenditures for the Association made by the President or the President's designee and the Treasurer.
- Have authority to recommend suspension of members of the Association for violations by majority vote of the Board after a thorough investigation.
- Have the authority to replace any Board member who demonstrates a lack of interest in the Association by continual absence at Board Meetings. Such removal of a Board member would require a unanimous vote of Board members present provided a simple quorum is in attendance.
- Meet at the request of the President, and/or at the request of three or more Board members.
- Resolve and provide final interpretation of the Association's Constitution and By-laws.
- Promote good will and public relations for the Association whenever possible through his/her contacts when conducting Association business.
Section 1 The Annual Meeting
The Annual Association Meeting shall be held during the MACBOA Basketball Clinic unless designated otherwise by the Board of Directors.
Section 1 Standing Committees
- The President shall appoint the following Committees: Hospitality, Legislative Grievance Review, and Nominating.
Section 2 Ad Hoc Committees
- The President may appoint ad-hoc committees when deemed necessary.
Section 1 Membership Dues and Fees
- The members of the Association will determine the Annual membership dues.
Annual membership dues and fees of the Association shall be determined on a year-to-year.
Section 2 Payment of Dues
All members will be required to comply with dues requirements as set forth by the Association to be eligible for membership in "good standing".
Section 3 Records of Dues
Association dues and fees must be paid to and recorded by the Treasurer in a timely manner.
Section 1 Association Governance
- The procedures used in conducting and governing the business of the Association will be Roberts' Rules of Order.
- The Association will make Roberts' Rules of Order available to the Officers and Board of Directors.
- Roberts' Rules of Order will pass on to each newly elected Officer and Board member.
- Loss of Roberts Rules of Order will be replaced at the expense of the member who loses this reference.
- The Association may choose to supersede or deviate from the rules of procedures in order to expedite the business of the Association in an efficient and timely manner.
Members of the Association agree to hold the Mid-Atlantic College Basketball Officials Association, its Supervisor of Officials, or its member institutions, harmless from any and all liability for injury or damage sustained as a result of any assignment(s).
Section 1 Recommendation for Amendment(s) and Revision(s)
- A member may submit written language recommending a Constitution and By-Laws amendment(s) and/or revision(s) to the Board.
- The Board will vote on any written submission by a member regarding the Constitution and By-Laws.
- The Board of Directors will present the amendment(s) and/or revision(s) to the membership via email or the MACBOA website.
Section 2 Adoptions of Amendment(s) and/or Revision(s)
Amendment(s) and/or Revision(s) to the Constitution and By-Laws will be adopted by the membership after being voted on via the email and/or MACBOA website taken by the Vice President of the Association.
